what we do in |commercial|

We advise on the full spectrum of commercial goods and services agreements and transactions, notably on distribution & agency, e-commerce, product safety and consumer protection, complex licensing or transfer of intangible assets and coroporate real estate property.

Our teams assists clients in a wide range of business and insdustry sectors, including pharma and healthcare, tobacco, alcohol, media & telecoms, luxury & fashion, foodstuffs, and FMCG.

Clients also regularly turn to us for complex or high stake litigation in matters relating to breach of contract in commercial agreements, typically with international reach.

Our team provides holistic advice on corporate governance issues ranging from corporate set up services to prosecuting the complete life-cycle of a business organization and advice for start ups and their founders.

We prepare all types of corporate documents and assist in the preparation and attendance of shareholders / partners meetings. Our team has gained significant experience in matters relating to minority shareholders rights and shareholders’ agreements.

We also advise and litigate on shareholders’ disputes, board members’ and directors’ liability, ranging from civil disputes to white collar crime.

|regulatory & compliance|

Modern day businesses face increasingly regulated market terrains. They look to their legal advisors for business-minded, up to date advice and legal risk assessment.

At Prentoulis Gerakini we have built significant expertise in several, heavily regulated, market sectors, including pharma and healthcare, tobacco, alcohol, media & telecoms. Of course, we regularly advise clients on regulatory & compliance matters relating to other markets, such as luxury & fashion, foodstuffs, and FMCG. We are frequently instructed to design and optimize regulatory compliance management systems for both large and smaller clients.

Our team also advises and litigates on the full spectrum of corporate governance and directors’ liability, including white collar crime.

|IT, media & privacy|

Privacy has become core to the design and implementation of business operations. Our team advises clients on the full spectrum of personal data processing matters and has implemented several GDRP-compliance projects.

We also advise and litigate on the protection and enforcement of privacy rights against websites and search engines.

We aim for an efficient, speedy resolution of all disputes, whether small or complex, entrusted to us. Our experience in diverse sectors of commercial litigation arms us with a wide perspective and allows us to identify appropriate settlement opportunities or the need to move ahead with full speed court proceedings.

|training & knowledge management|

We monitor legal and market developments in all our areas of key expertise, and are also alert to changes that can impact our clients’ operations.

But we will share and disseminate the knowledge and insights we gain.

We regularly organize “first response” seminars for clients and peers, in order to update them on significant developments.

We also build specific protocols and tools for clients’ use in a particular business sector or project.

our latest work in |commercial|

We assisted a leading Greek security printing company in its participation, as member of a consortium, in the Greek passports and ID cards public tender, budgeted at 0,5 billion EUR.

We assisted the Greek subsidiary of a global multinational in updating and localising its dawn raid guidelines. The succesful challenge was to draft a clear, easy to follow set of guidelines addressing key concerns in a dawn raid.

We represent a pioneering Greek insurance mediation company in litigation over minority shareholders rights. We advised the client on appropriately defending against abusive exercise of minority shareholders rights and attempts to deadlock their operations.

We assisted a software start up in the maritime industry in framing and structuring its relationship with a strategic investor. We were involved as early as from the initial negotiations and, having a firm grasp, of our client’s end goal were able to guide them through the process of agreeing and implementing the project.
